Terms of Service

1. Acceptance of Terms

By installing, accessing, or using StockKoala ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App.

2. Description of Service

StockKoala is a Shopify application that provides inventory management tools including:

• Inventory check-in and audit logging
• Employee badge-based access control
• Purchase order creation and management
• Sales velocity forecasting and reorder recommendations
• Batch expiration date tracking
• Inventory health reports and analytics
• Packaging supply tracking

3. Requirements

To use the App, you must:

• Have an active Shopify store with a valid subscription
• Grant the App the required API permissions during installation
• Use the App in compliance with Shopify's Terms of Service and Acceptable Use Policy

4. Account and Access

• You are responsible for managing employee accounts and access permissions within the App
• You are responsible for maintaining the confidentiality of any settings PINs or badge IDs configured in the App
• You are responsible for all activity that occurs under your store's installation of the App

5. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the App, you consent to the practices described in the Privacy Policy.

6. Shopify API Usage

The App accesses your Shopify store data through Shopify's API. You authorize the App to:

• Read product, variant, inventory, location, and order data from your store
• Write product metafields (expiration date information) to your store
• Receive webhook notifications for order fulfillment, cancellation, and inventory changes

You may revoke this access at any time by uninstalling the App.

7. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract the source code of the App
• Use the App in a manner that could damage, disable, or impair the service
• Resell, sublicense, or redistribute access to the App
• Use automated scripts or bots to interact with the App beyond its intended functionality

8. Intellectual Property

The App, including its design, code, features, and documentation, is the property of StockKoala and is protected by applicable intellectual property laws. Your installation grants you a limited, non-exclusive, non-transferable license to use the App for your business operations.

9. Availability and Support

• We strive to maintain the App's availability but do not guarantee uninterrupted or error-free service
• The App depends on Shopify's platform and API availability, which is outside our control
• Planned maintenance or updates may temporarily affect availability
• Support is provided via email at support@stockkoala.com

10. Limitation of Liability

To the maximum extent permitted by law:

• The App is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not warrant that the App will meet your specific requirements or expectations
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App
• Our total liability for any claims arising from your use of the App shall not exceed the fees you paid for the App in the 12 months preceding the claim
• We are not responsible for any losses resulting from inaccurate inventory data, missed reorder points, or incorrect forecast calculations

11. Indemnification

You agree to indemnify and hold harmless StockKoala and its operators from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

12. Modifications to the Service

We reserve the right to:

• Modify, update, or discontinue any feature of the App at any time
• Change pricing or introduce paid tiers with reasonable notice
• Update these Terms as needed

Material changes to these Terms will be communicated through the App or via email. Continued use of the App after changes constitutes acceptance.

13. Termination

• You may stop using the App and uninstall it at any time through your Shopify admin
• We may suspend or terminate your access to the App if you violate these Terms
• Upon termination, your right to use the App ceases immediately. See our Data Deletion Policy for information about data removal.

14. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or your use of the App shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
